Announcement of the sale of 1% stake in Worldline Czech Republic, s.r.o.

Prague, 10 December 2025 – Komerční banka, a.s., with its registered seat at Praha 1, Na Příkopě 33/969, Zip Code 114 07, Id. No. 45317054, registered in the Commercial Register maintained by the Municipal Court in Prague, section B, file No.1360 (hereinafter also Komerční banka or the Bank), announces that

it has concluded the sale of its 1% stake in the company Worldline Czech Republic, s.r.o, with registered office at Rohanské nábřeží 670/17, 186 00 Prague 8, registration No. 036 33 144 (Worldline CR) to Worldline SA/NV, with registered office at Haachtsesteenweg 1442, 1130 Brussels, Belgium (Worldline), a subsidiary of Worldline SA (EPA: WLN).

Worldline CR was established in 2014 as a 100% subsidiary of Komerční banka and it had assumed activities of Komerční banka in credit and debit card payment processing services (merchant acquiring). Komerční banka sold the 99% stake in Worldline ČR to Worldline gradually: (i) 80% in September 2016, as a step in forming KB SmartPay alliance between Komerční banka and Worldline for development of card payment processing services for merchants in the Czech Republic and (ii) 19% in February 2018.

Upon conclusion of the transaction announced today, Komerční banka does not have any stake in Worldline CR. Komerční banka and Worldline continue closely co-operating within KB SmartPay alliance.
